Marvell’s $115 Billion AI Bet Rides on an Optical Future

Marvell’s all-stock takeover of Lumentum is a sweeping wager that AI data centers will need far more optical connectivity. The deal’s scale underscores Silicon Valley’s confidence, even as its value and the durability of AI spending remain in question.

Marvell Technology moved Monday to acquire optical-components maker Lumentum Holdings in an all-stock transaction carrying an implied enterprise value of $115 billion, including debt. The Silicon Valley tie-up would be the largest deal by value between publicly traded technology companies, according to reports.

The wager is rooted in a rapidly changing AI data-center design. Marvell, which sells networking and AI chips, argues that the enormous computing clusters used to train and run large language models increasingly need optical links to move data between chips and systems. Lumentum brings the optical technology; Marvell says the combined company can unite electrical and optical capabilities as demand accelerates across regions and architectures.

Marvell Chairman and Chief Executive Matt Murphy cast the transaction as a defining race for the industry. “AI infrastructure is undergoing a fundamental architectural shift toward optical connectivity,” he said, calling it a “once in a generation” opportunity. “The companies that move first and help define this transition will set the standard for decades to come.”

But the deal also places a conspicuously large marker on the durability of the AI investment boom. Because it is a fixed-ratio stock swap — Lumentum holders are set to receive 4.5 Marvell shares for each share they own — its ultimate value will move with Marvell’s share price. The companies expect to close in the first half of 2028.

That leaves ample time for the central question to be tested: whether AI customers’ infrastructure spending will keep expanding at the rate assumed by this merger. Marvell’s market value has more than tripled over three years amid AI enthusiasm, while Lumentum shares have more than doubled in 2026; yet shares in both companies fell before the market opened after the announcement.
